Terms governing your use of Panop.

These Terms of Use (“Terms”) govern your use of the Panop website and associated services, including the Cassiopeia learning platform. By accessing or using our services, you agree to these Terms.

These Terms govern the use of our websites, and the use of Cassiopeia’s free and Pro memberships for individuals — including purchases of those memberships made through our websites. Sales arranged through other channels — including enterprise and institutional agreements — are governed by their own contracts, not by these Terms.

You represent and warrant that:

• You are at least 18 years of age;
• You have not been suspended or removed from our services; and
• Your use complies with all applicable laws and regulations.

By submitting or publishing content (including feedback, comments, suggestions and ideas), you grant Panop a perpetual, worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and create derivative works from that content, for any purpose and without payment, credit, or notice to you. You retain ownership of your content.

Panop is under no obligation to use, respond to, keep confidential, or return any content you submit, and may use it even where it is identical or similar to something already under development.

You warrant that your content does not infringe any third-party rights or contain unlawful material.

You may not use our services if you are located in, or acting on behalf of, any person or entity subject to sanctions or restrictions imposed by:

• The Australian Department of Foreign Affairs and Trade (DFAT)
• The U.S. Office of Foreign Assets Control (OFAC)
• The U.K. Office of Financial Sanctions Implementation (OFSI)
• Any other relevant government sanctions regime

You must immediately notify us if you become subject to any such restrictions.

Paid memberships for our Cassiopeia learning platform (cass.panop.ai) are sold by Canberra Dynamics Pty Ltd. The price, currency and billing period are displayed before you order, and the displayed price is the amount charged. This section applies to purchases made through our websites only.

Monthly and annual memberships renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you will not be charged again. A lifetime membership is a single payment and does not renew. If the price of a renewing membership changes, we will notify you by email before a renewal at the changed price takes effect.

Payments are processed by Stripe. Your card details are provided directly to Stripe and are never received or stored by us. If a renewal payment fails, we may suspend paid access after reasonable attempts to collect.

Some prices are offered for particular regions only and require payment by a card issued in that region; Ukrainian pricing requires payment by card issued by a Ukrainian bank. A payment that does not meet a regional condition is refunded and the purchase does not proceed.

A membership provides access to paid courses while it is active. Where payment unlocks an examination, it purchases an attempt; certificates are awarded only for passing, and no certificate is an ACMA licence or any other government qualification.

Nothing in these Terms excludes any consumer guarantee under the Australian Consumer Law or any other right that cannot lawfully be excluded. If you are a consumer in the European Union or the United Kingdom, you may withdraw from a purchase within 14 days of making it; where you have requested immediate access, we may deduct an amount proportionate to the access already supplied. We may suspend or terminate your access to our services at any time, with or without notice, for any reason. We may also modify or discontinue any service at our discretion.

Our website may contain links to external websites not operated by Panop. We are not responsible for their content, accuracy, or policies.

All materials on the Panop website and on Cassiopeia — including code, designs, and data — are owned by Panop or its licensors except where otherwise noted. You may not reproduce or distribute any materials without prior written consent.

You must not:

• Engage in unlawful or fraudulent activity;
• Introduce malicious software or attempt unauthorised access;
• Interfere with system performance; or
• Violate any applicable law or regulation.

You may not scrape, copy, or use Panop’s or Cassiopeia’s website content to develop, train, or refine artificial intelligence or machine learning models without express written permission.

You agree to indemnify and hold Panop harmless from any claims or damages resulting from your use of the services or violation of these Terms.

The services are provided “as is” and “as available”. Panop makes no warranties of any kind and accepts no liability for direct or indirect damages arising from use or inability to use the services.

Nothing in this section excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded.

These Terms are governed by the laws of Australia. You agree to the exclusive jurisdiction of the courts in Canberra, Australian Capital Territory.

We may modify these Terms at any time. Updates take effect upon posting. Continued use of our services constitutes acceptance of the revised Terms.
